Legal Settlement

Vienna – Pipelife Jet Stream, Inc. ("Jet Stream"), a U.S.-based subsidiary of wienerberger manufacturing plastic pipes and systems, has reached agreements to settle three putative antitrust class action lawsuits pending before the U.S. District Court for the Northern District of Illinois. The lawsuits were filed in September 2024 against Jet Stream and eleven other PVC manufacturers.

The settlements do not constitute an admission of liability or wrongdoing. Jet Stream has decided to resolve the proceedings in order to avoid the uncertainty, costs and management distraction associated with prolonged litigation.

Under the settlement agreements, Jet Stream will pay a total of USD 52.4 million, subject to final court approval. Once approved, the settlements will resolve all civil claims against Jet Stream in these proceedings.

The settlements also eliminate the risk of joint-and-several liability, under which a remaining defendant in a U.S. class action could be required to cover damages attributable to other defendants, including those that have already settled.

The agreements were not disclosed earlier because the negotiations were subject to strict confidentiality obligations and remained uncertain until the court granted preliminary approval. Earlier disclosure could have jeopardized the negotiations, weakened the Company's position and increased its financial exposure.

The settlement payments are expected to be made in 2026. They will be reported as a one-off item affecting reported EBITDA only and will have no impact on operating EBITDA.
